Elaine Lam is an Associate Director in the Transaction Services Group in Hong Kong where she joined from our New York office in February 2008. With over 10 years of experience at PwC, Elaine has worked with clients in the financial services industry both within the region and globally. In the last five years, she has gained extensive due diligence experience in China, Hong Kong and the Asia Pacific region ranging from pre-deal due diligence; to completion audit to purchase price allocation work; to post deal integration.
Elaine specialises in due diligence services in the Asia Pacific region with main focus on Hong Kong, China and South East Asian countries. Many of the transactions Elaine has participated in have been cross border in nature.
Elaine has worked on various deals relating to acquisition of insurance companies in Hong Kong, China and the South East Asia. She assisted clients in analysing the effectiveness of the target’s bancassurance channels. In addition, Elaine has worked on a number of complex carve-out transaction and assisted clients in identifying the assets and liabilities being transferred as well as advising on the terms and conditions required in the SPA in order to minimise client’s exposures at closing due to an inefficient carve-out process. Elaine also played a key role in coordinating the due diligence process with the client’s internal due diligence teams and external advisors, target’s management and external advisors which is particularly important in a time sensitive cross border bidding process.
Elaine has served as the buy-side financial due diligence advisor to global and regional financial institution for potential acquisition of over 20 banks and insurance companies in the past 5 years, including sale of an insurance business in Asia. These experiences have enabled her to gain in-depth knowledge of insurance and banking operations which are particularly essential in analysing the efficiency of the bancassurance channels. Elaine has led a sell-side project in identifying and modelling various value propositions of the Islamic banking channel and Takaful business.
