The China Ministry of Finance ("MOF") and the State Administration of Taxation ("SAT") jointly issued the "Notice on Enhancement of the Income Tax Policies for Equity Incentives and Technology Investment" (Caishui [2016] No.101) on 22 September 2016. Circular 101 offers various favourable tax treatments to certain equity incentive plans granted to key and senior executives by qualified private and publicly listed companies and to technology investment made by individuals and companies. The favourable tax treatments include deferral of taxation, reduced tax rate and extension of the payment terms. On 28 September 2016, the SAT released further details (Public Notice 62) to facilitate the implementation of Circular 101.

Circular 101 resolves the typical cash flow problems suffered by the participants of the equity incentive plans at the times of exercise and reduces their PRC IIT burden. It also provides vast opportunities for companies to incentivise their employees and enhance their overall compensation strategies.

To help you better understand the new tax policy on equity income and seize the great opportunity for tax optimization for your key and senior executives, our experts from equity incentive plan, tax and legal held a webcast at 3 pm, 25 October 2016. During the webcast, our experts analysed the new tax policy from different perspectives and shared our insights on how the companies may implement, amend and enhance their existing arrangements.

Webcast agenda:
  • Understanding of the new tax policy and related tax administrative measures;
  • Implications of the new tax policy under different equity incentive plans;
  • Opportunities to secure the favourable tax treatments;
  • Areas requiring further clarifications with the PRC tax authorities; and
