The China Ministry of Finance ("MOF") and the State Administration of Taxation ("SAT") jointly issued the "Notice on Enhancement of the Income Tax Policies for Equity Incentives and Technology Investment" (Caishui [2016] No.101) on 22 September 2016. Circular 101 offers various favourable tax treatments to certain equity incentive plans granted to key and senior executives by qualified private and publicly listed companies and to technology investment made by individuals and companies. The favourable tax treatments include deferral of taxation, reduced tax rate and extension of the payment terms. On 28 September 2016, the SAT released further details (Public Notice 62) to facilitate the implementation of Circular 101.

Circular 101 resolves the typical cash flow problems suffered by the participants of the equity incentive plans at the times of exercise and reduces their PRC IIT burden. It also provides vast opportunities for companies to incentivise their employees and enhance their overall compensation strategies.
