The China's New Tax Implementation Rules for Corporate Restructuring ("Restructuring Rule") were issued jointly by the Ministry of Finance and the State Administration of Taxation on 30 April 2009.  The Restructuring Rules, that take a retroactive effect on 1 January 2008, would be of significant and immediate impact to companies that had already undergone restructuring in year 2008, which would have to be reported to the annual 2008 Corporate Income tax ("CIT") returns before the end of May 2009, the latest.  Furthermore, it would affect the CIT treatments of all other companies that may restructure their China business going forward.
